It's not your standard pie shop, though it does have the quaintness of look which its northern off-shoot had. It does pies, of course, but it also does fine pastries and cakes. "Our qualified chefs make our delicious butter puff pastry using butter from Pepe Saya and flour from Manildra in Nowra. "Our chef makes our pie mixes using local beef supplied by South Ulladulla meat market, chicken from St Georges Basin and all of our game meats from a small company in Canberra called Priam." And they make what some fans may fear is becoming a rarity: steak and kidney pie (with, as the bakers describe it, "diced chuck steak in rich gravy with lamb's kidney".) Its pride and joy is slow-cooked chunky steak in red wine. "They're all made here, beef slow-cooked for three-and-a-half to four hours. Local beef," one of the owners Xavier Ryan said. Dec 3 (Reuters) - After a Delaware judge last January struck down CEO Elon Musk’s $56 billion pay package, Tesla’s board of directors faced a choice. The board could have reopened the complex process of negotiating a compensation deal with Musk, this time with guardrails in place to assure the plan would be deemed fair to all of Tesla’s shareholders despite Musk’s sway over the company. That option, as the electric vehicle maker eventually told shareholders in a proxy filing , opens new tab last April, had distinct disadvantages. It would have been time-consuming and potentially very expensive: Tesla told shareholders that it believed the company would have faced an accounting charge of more than $25 billion if it had adopted a new compensation package that granted Musk the stock options he had been promised in the pay plan rescinded by Delaware Chancellor Kathaleen McCormick. A newly negotiated plan, Tesla (TSLA.O) , opens new tab said in the proxy filing, might also have adverse tax consequences for both Musk and the company. The board's other choice was simply to ask shareholders to vote again on the pay package they had previously approved in 2018, but this time with beefed up disclosures, including the full text of McCormick’s opinion concluding that directors had breached their duties when they approved the deal for Musk. A new vote, Tesla said in the April proxy filing, would “cure” the court’s criticism and would “extinguish claims for a breach of fiduciary duty.” This so-called “ratification” of the previous shareholder vote had obvious advantages for the company, as Tesla told shareholders in the proxy statement. It was quick, which meant Musk would soon have a new pay package after working for six years without compensation. It also gave shareholders a voice. And it could save Tesla from shelling out billions of dollars in fees to the plaintiffs' lawyers who had challenged Musk’s pay, the company told shareholders, because those lawyers could no longer argue that they had saved Tesla billions of dollars by blocking the transfer of valuable options to Musk. Tesla acknowledged in its proxy filing that its ratification theory was “novel” and that Delaware courts might not agree with the company’s assessment of the theory’s viability and its impact on the case. But Tesla’s board told shareholders that its one-woman special independent committee had concluded — without even bringing in a compensation consultant — that ratification was the better course. The board told shareholders in the April proxy materials that it agreed. So, apparently, did shareholders, who voted resoundingly in favor of reconfirming Musk’s 2018 pay package at Tesla’s annual meeting in June. Tesla subsequently pointed to the second vote in filings asking McCormick to revise her original opinion because shareholders had once again approved Musk’s pay deal, this time in a fully informed vote. Tesla also said shareholder lawyers were entitled to no more than $54.5 million for their efforts. Tesla, in essence, wagered that it would rather test its novel ratification theory in Delaware courts than restart the process of setting Musk’s compensation. It lost that bet on Monday, when McCormick denied , opens new tab Tesla’s request for modification of her original opinion in light of the shareholder vote in June. McCormick concluded that Tesla’s theory — that a do-over vote by shareholders can effectively undo a judge’s post-trial court ruling — has no basis in common law, Delaware procedural rules, Delaware case law or even Delaware policy. The judge also said that even if Tesla’s board was right about the ratifying effect of shareholders’ second vote approving Musk’s pay package, that re-vote was tainted by the proxy statement’s overly confident depiction of the impact of the vote. Tesla said in a post on X that it plans to appeal McCormick’s new and original rulings to the Delaware Supreme Court, as my Reuters colleagues Tom Hals and Jon Stempel reported on Monday. So there is still a chance that Tesla’s ratification theory will ultimately prevail. There's also still a chance that Delaware's justices will overturn McCormick’s original holding that the board breached its duty in negotiating the 2018 compensation plan with Musk. (I received no response to my email query to Tesla and defense counsel from Cravath, Swaine & Moore and Quinn Emanuel Urquhart & Sullivan.) Nonetheless, after reading McCormick’s decision, I wondered whether Tesla and its CEO would have been better off if Tesla’s board had opted for renegotiation rather than pushing for McCormick to endorse its novel ratification theory. Remember, Tesla's directors did not need much convincing to reject that course based on accounting and tax considerations. But four law professors told me on Tuesday that if Tesla had reopened negotiations, it would probably have been able to formulate a new Musk compensation plan that could withstand court scrutiny. The professors — Stephen Bainbridge of the University of California at Los Angeles, Eric Talley of Columbia University, Ann Lipton of Tulane University and retired professor Charles Elson of the University of Delaware — said Tesla’s board would have needed to abide by standard corporate procedures, including the creation of a genuinely independent committee to negotiate with Musk. If the board had set up those guardrails, Talley said by email, it could have justified even a retroactive package that rewarded Musk for working without pay since 2018. “Keeping Elon happy (and not vengeful) at Tesla could easily provide a rational basis for making a retrospective award,” Talley said. He and Bainbridge noted an additional wrinkle: If Tesla’s board had waited until the company’s reincorporation in Texas to reset Musk’s compensation, the company might not have had to worry about all of Delaware’s rules for transactions involving a controlling shareholder. LeBlanc couldn't provide specifics on the number of extra "boots on the ground," but said the government is finalizing a plan based on advice received from the RCMP and Canada Border Services Agency, and that he is now working with Finance Minister Chrystia Freeland to fund it. "We haven't made, as a government, those final decisions," LeBlanc told the committee, in response to questions from Conservative MP Raquel Dancho. "There will be additional resources. Human and equipment. We will be making announcements in terms of procurement and personnel before (Jan. 20)," he said, referencing Trump's inauguration date. Last week, Trump threatened Canada with 25 per cent tariffs on all imports if Canada didn't do more to stem the passage of migrants and illegal drugs across the border. If enacted the move could critically damage Canada's economy, with more than 70 per cent of Canadian exports bound for the United States. On Friday, LeBlanc and Prime Minister Justin Trudeau flew to Florida to dine with Trump and some of his cabinet nominees at his Mar-a-Lago resort in Florida where they informally discussed trade and border security among other topics. Trudeau met with opposition leaders in his office on Parliament Hill on Tuesday to brief them on the situation as it stands now. An official in Trudeau's office said during the meeting Trudeau stressed the importance of not negotiating against Canada in public, and asked party leaders to state repeatedly and publicly that tariffs will raise the cost of living on both sides of the border. Finance Minister Chrystia Freeland, who attended the meeting, said at an afternoon news conference that unity is key among premiers and federal party leaders, because successfully beating back the tariffs is "not going to happen by accident." "All of us should be putting country before party," she said. Bloc Québécois leader Yves-François Blanchet said the meeting was cordial, discussions rational and constructive, and said having more of those meetings would be helpful in having a consistent approach on U.S. policy — amid a looming Canadian election. "If that tone that was used in that type of meeting could show up in Parliament, people would have more confidence in us and take us more seriously," Blanchet told reporters, in French. "The prime minister did say, when they were talking about their concerns around fentanyl and precursor chemicals and drugs, that we have for a long time worried about illegal firearms smuggled into Canada," LeBlanc told the committee. "We made that point to (Trump) that that was something we wanted to do in partnership with them." LeBlanc also told reporters on Monday that his department is mulling over expanding the CBSA's mandate to include border patrol between ports of entry. Right now, that responsibility falls on the RCMP. But LeBlanc said such a move would require a legislative change that would take some time to enact. "We’re always looking at good ideas and we’re not dismissing this one, but it’s not a priority for us in terms of arriving at the conclusion we want," LeBlanc said. Greedy entrepreneurs lower costs and deliver goods faster. Consumers have better options. Yet today many Americans trash capitalism, demanding government “fixes” to make sure everyone gets equal amounts of this and that. But it’s in countries with the most government intervention where there are empty store shelves and hungrier people. In socialist Venezuela, affordable food is hard to find. In Cuba, government was going to make everything plentiful. But people suffered so much that, to prevent starvation, the Castros broke from communist principles and rented out state-owned land to private capitalists. Millions still go hungry around the world. The cause is rarely drought or “income inequality” or colonialism, but government control. Corruption, tariffs, political self-dealing and short-sighted regulations block food from reaching those who need it most. Last week, we celebrated the Pilgrims, who learned this lesson the hard way. When they first landed in America, they tried communal living. The harvest was shared equally. That seemed fair. But it failed miserably. A few Pilgrims worked hard, but others didn’t, claiming “weakness and inability,” as William Bradford, the governor of the colony, put it. They nearly starved. Desperate, Bradford tried another approach. “Every family,” he wrote, “was assigned a parcel of land.” Private property! Capitalism! Suddenly, more pilgrims worked hard. Of course they did. Now they got to keep what they made. Bradford wrote, “It made all hands very industrious.” He spelled out the lesson “The failure of this experiment of communal service, which was tried for several years, and by good and honest men proves the emptiness of the theory ... taking away of private property, and the possession of it in community ... would make a state happy and flourishing.” Fast forward 400 years, and many Americans have forgotten what Bradford learned. I see why socialism is popular. The idea of one big, harmonious collective feels good. But it brings disaster. Family dinners already have plenty of disagreements — children fight; adults bicker. Imagine what that would be like among millions of strangers. Collectivist systems encourage dependency, stifle initiative and waste resources. The same communal conceit that nearly starved the Pilgrims destroyed lives in the Soviet Union and led to mass starvation in China. When everyone is forced into the same plan, most people will take as much as they can and produce as little as they can get away with. Economists call it the “tragedy of the commons” referring to a common plot of land, controlled by, say, sheep owners. Each has an incentive to breed more sheep, which then eat the common’s grass until all of it is gone, and everyone goes hungry. Only when the commons is divided into private property does each owner agree to limit his herd’s grazing so there will be enough for his sheep to eat tomorrow. These same principles apply to many aspects of our lives: We thrive when individuals have a deed to their property and are confident that they can keep what they create. Then they create more. That’s what the Pilgrims learned: Incentives matter. Capitalist ownership is what creates American abundance. Every Thanksgiving, I’m thankful for free markets and private property. They are the ingredients of prosperity.

Musk’s motion alleges Microsoft and OpenAI are both blocking investments into xAI, his competing artificial intelligence company, and profiting from his early substantial funding and public support of OpenAI as a nonprofit. OpenAI maintains Musk sought to transform OpenAI into a for-profit company headed by Musk himself. Musk has long shared his fears about the possible danger artificial intelligence could pose to humanity, and supported OpenAI on the basis of his belief that the world’s leading AI firm should be dedicated to safety, transparency, and the public good. He has since launched xAI with the goal of surpassing OpenAI. Musk’s motion alleges OpenAI and Microsoft have violated antitrust laws, especially by allowing investment only by firms that vow to not invest in other AI companies, while profiting from technology developed when OpenAI was a Musk-bankrolled nonprofit. “Musk made absolutely clear that his donations—which established and sustained OpenAI, Inc. for years—were conditioned on Altman and [OpenAI President George] Brockman’s firm commitment to operate as a non-profit, devoted to the public good,” said the motion. Trump promises to eliminate ‘inconvenient’ and ‘costly’ daylight saving time

OTTAWA — Canada will beef up its border security in time for the inauguration of president-elect Donald Trump, Public Safety Minister Dominic LeBlanc said Tuesday as he appeared at a House of Commons committee. LeBlanc couldn't provide specifics on the number of extra "boots on the ground," but said the government is finalizing a plan based on advice received from the RCMP and Canada Border Services Agency, and that he is now working with Finance Minister Chrystia Freeland to fund it. "We haven't made, as a government, those final decisions," LeBlanc told the committee, in response to questions from Conservative MP Raquel Dancho. "There will be additional resources. Human and equipment. We will be making announcements in terms of procurement and personnel before (Jan. 20)," he said, referencing Trump's inauguration date. Last week, Trump threatened Canada with 25 per cent tariffs on all imports if Canada didn't do more to stem the passage of migrants and illegal drugs across the border. If enacted the move could critically damage Canada's economy, with more than 70 per cent of Canadian exports bound for the United States. On Friday, LeBlanc and Prime Minister Justin Trudeau flew to Florida to dine with Trump and some of his cabinet nominees at his Mar-a-Lago resort in Florida where they informally discussed trade and border security among other topics. Trudeau met with opposition leaders in his office on Parliament Hill on Tuesday to brief them on the situation as it stands now. An official in Trudeau's office said during the meeting Trudeau stressed the importance of not negotiating against Canada in public, and asked party leaders to state repeatedly and publicly that tariffs will raise the cost of living on both sides of the border. Finance Minister Chrystia Freeland, who attended the meeting, said at an afternoon news conference that unity is key among premiers and federal party leaders, because successfully beating back the tariffs is "not going to happen by accident." The flow of illegal firearms is a topic LeBlanc and Prime Minister Justin Trudeau raised with Trump at their dinner Friday night. "The prime minister did say, when they were talking about their concerns around fentanyl and precursor chemicals and drugs, that we have for a long time worried about illegal firearms smuggled into Canada," LeBlanc told the committee. "We made that point to (Trump) that that was something we wanted to do in partnership with them." LeBlanc also told reporters on Monday that his department is mulling over expanding the CBSA's mandate to include border patrol between ports of entry. Right now, that responsibility falls on the RCMP. But LeBlanc said such a move would require a legislative change that would take some time to enact. "We’re always looking at good ideas and we’re not dismissing this one, but it’s not a priority for us in terms of arriving at the conclusion we want," LeBlanc said. Speaking to reporters following the leaders meeting with Trudeau, NDP leader Jagmeet Singh said it's a change he would support. "Let's protect our borders, keep us safe, and also help in the fight against these tariffs," Singh said.
